Maple Leaf Sports & Entertainment (“MLSE”) and Mastercard Canada ULC (“Mastercard”) reserve the right to suspend, modify or cancel the Program or any part thereof, at their discretion, at any time with or without notice.
Participants are responsible for the payment of all taxes which may result from participation in the Program.
Mastercard and MLSE make no warranties or representations, either expressed or implied, with respect to type, quality or fitness of goods or services provided through the Program.
All interpretations of these Rules are at Mastercard’s and MLSE’s sole discretion, and Mastercard’s and MLSE’s decisions will be final.
IN NO EVENT WILL MASTERCARD OR MLSE, OR THEIR RESPECTIVE PARENTS, SUBSIDIARIES AND AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OFANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF ORARE IN ANY WAY CONNECTED WITH THE PROGRAM, THESE RULES, OR THEIR OPERATION OFTHE PROGRAM.
Any disputes arising out of or related to the Program or these Rules will be governed by, construed and enforced in accordance with the laws of the Province of Ontario. The exclusive jurisdiction for any claim or action arising out of or relating to the Program or the Rules may be filed only in the courts located in the City of Toronto, Ontario.
The Rules, together with any other terms and conditions, rules, or regulations incorporated herein or referred to herein constitute the entire agreement between Mastercard, MLSE and the Participant relating to the subject matter here of, and supersede any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing.
(a) Any attempt by any person to undermine the legitimate operation of the Program maybe a violation of criminal and civil law, and, should such an attempt be made, Mastercard and MLSE reserve the right to seek damages from any such person to the fullest extent permitted by law. Mastercard’s or MLSE’s failure to enforce any of these Rules shall not constitute a waiver of that, or any other, provision.
(b) The Program is provided to individuals only. Corporations, associations, or other groups may not participate in the Program.
(c) If any provision of these Rules is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Rules, which will otherwise remain in full force and effect.
